These Beta Services Terms (“Beta Terms”) govern your access to and use of any Beta Service (as defined below) made available by Beyond Power Inc. (“Beyond Power,” “we,” “us,” or “our”) .
By accessing, installing, enabling, downloading, or using a Beta Service, you agree to these Beta Terms and the Terms of Service. If you do not agree, do not access or use the applicable Beta Service.
If these Beta Terms conflict with the Terms of Service with respect to a Beta Service, these Beta Terms will control to the extent of that conflict.

Beta Services and Participation
“Beta Service” means any software, firmware, application, feature, functionality, service, tool, integration, device functionality, hardware, prototype, documentation, material, or other offering that Beyond Power identifies as “Beta,” “Early Access,” “Preview,” “Experimental,” “Test,” “Pre-Release,” or by any similar designation.
Beta Services are made available for testing, evaluation, and feedback purposes before or outside of general commercial release, including to support Beyond Power’s development and improvement of its products and services.
Your decision to access or use a Beta Service is voluntary and does not create any partnership, joint venture, agency, employment, or other similar relationship between you and Beyond Power.
You represent that you are legally permitted to access or use the Beta Service and satisfy any eligibility requirements communicated by Beyond Power. If you accept these Beta Terms on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Beta Terms.
Being eligible for, or being granted access to, a Beta Service does not obligate Beyond Power to provide, maintain, or continue your access to any Beta Service, or entitle you to any future product, service, feature, benefit, compensation, or commercial release.

Limited Beta License and Use Restrictions
Subject to your compliance with these Beta Terms and the Terms of Service, Beyond Power grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the applicable Beta Service solely for its intended testing and evaluation purposes for so long as Beyond Power makes the applicable Beta Service available to you.
Except as expressly authorized by Beyond Power or permitted by applicable law, you may not:
(a) copy, modify, distribute, sell, lease, rent, sublicense, transfer, or commercially exploit any Beta Service;
(b) reverse engineer, decompile, disassemble, decrypt, decode, or otherwise attempt to derive source code, underlying technology, algorithms, communication protocols, or other non-public components of a Beta Service;
(c) bypass, disable, interfere with, defeat, or circumvent any authentication mechanism, security feature, access control, technical restriction, or usage limitation;
(d) provide access to a Beta Service to any unauthorized person or share any account credentials, access codes, invitations, download links, authentication credentials, or other means used to access a Beta Service;
(e) use a Beta Service to obtain unauthorized access to any account, system, network, device, data, or functionality;
(f) scrape, harvest, extract, or systematically collect data through a Beta Service except as expressly authorized by Beyond Power; or
(g) use a Beta Service for any unlawful, fraudulent, abusive, harmful, unsafe, or unauthorized purpose.
All rights not expressly granted under these Beta Terms are reserved by Beyond Power and its licensors.
You may use a Beta Service only with products, devices, software versions, accounts, or configurations that Beyond Power identifies as compatible or eligible for that Beta Service.

Pre-Release Nature; Changes and Availability
You acknowledge that Beta Services are experimental or pre-release offerings that may not have been fully tested and may be incomplete, inaccurate, unreliable, or contain bugs, defects, vulnerabilities, compatibility issues, or other problems.
A Beta Service may operate differently from generally released Beyond Power products or services and may experience crashes, interruptions, degraded performance, loss of functionality, inaccurate results, unexpected behavior, or other failures.
Beyond Power may, at any time and to the extent permitted by applicable law, update, modify, replace, restrict, suspend, reset, withdraw, or discontinue all or any part of a Beta Service, including through automatic updates where applicable.
Features, functionality, interfaces, specifications, performance, availability, pricing, or other characteristics of a Beta Service may change during the beta period, and any generally released version may be offered on different pricing or commercial terms. A Beta Service may be offered free of charge or on discounted terms, but such pricing does not entitle you to free, discounted, or continued access to any generally released version.
Except as required by applicable law, Beyond Power does not commit to providing any particular update, correction, repair, replacement, workaround, or compatible version for any Beta Service or any error, defect, vulnerability, incompatibility, or other issue affecting a Beta Service.
Beyond Power does not represent, warrant, promise, or guarantee that any Beta Service or any particular feature or functionality will ever be announced, commercially released, made generally available, or continued in the future. Any generally released version may differ materially from the Beta Service.

Connected Products and Safety
Certain Beta Services may communicate with, configure, update, monitor, or control Beyond Power products or other connected devices.
Because Beta Services are experimental, errors or unexpected behavior in a Beta Service may affect a connected product or device and may result in, among other things, unexpected operation, incorrect settings, loss of functionality, connection failures, performance issues, data loss, or other unintended results.
You must use reasonable care when using a Beta Service with any connected product or device. Before beginning an exercise or otherwise relying on a Beta Service, you must review and verify relevant device status, settings, resistance levels, commands, recommendations, or other information that may affect safe operation.
You must at all times follow the applicable product instructions, user manuals, warnings, safety guidance and usage restrictions provided by Beyond Power. You must immediately stop using the Beta Service and any affected connected product if you experience unexpected operation, incorrect resistance, loss of control, abnormal device behavior, or any condition that may present a safety risk.
Without limiting Section 6 (Fitness-Related Content) of the Terms of Service, Beta Services are not intended for medical purposes and do not constitute or replace medical advice or professional judgment. You must not rely on any Beta Service in a medical emergency or other time-critical or safety-critical situation.

Beta Data, Diagnostics and Privacy
Your access to or use of a Beta Service may involve the collection and processing of information associated with your use of a Beta Service, which may include diagnostic, technical, performance, usage, crash, error, device, firmware, connection, and related information.
Depending on the applicable Beta Service, Beyond Power may use such information to operate, test, evaluate, troubleshoot, secure, maintain, and improve the Beta Service and related Beyond Power products and services, as further described in the Beyond Power Privacy Policy and any privacy notice provided in connection with the applicable Beta Service.
You acknowledge that, because Beta Services are experimental, data, content, records, configurations, preferences, settings, progress, results, or other information created, stored, transmitted, or processed through a Beta Service (“Beta Data”) may be lost, corrupted, modified, reset, deleted, or otherwise become unavailable.
Beta Data may not be retained, restored, transferred, or migrated to a later beta version or to a generally released version of the applicable product or service.
You are solely responsible for maintaining appropriate backups of any data or information that you do not wish to lose. Beyond Power has no obligation to restore or recover Beta Data that is lost, corrupted, deleted, or otherwise unavailable.
If you choose to submit diagnostic files, logs, screenshots, recordings, or other materials to Beyond Power, you are responsible for ensuring that you have the necessary rights and permissions to provide any personal information or third-party information contained in those materials.
Personal information will be handled in accordance with the Beyond Power Privacy Policy and applicable law.

Feedback
Beyond Power may invite or request that you provide comments, suggestions, ideas, recommendations, questionnaires, bug reports, issue reports, test results, improvement proposals, or other feedback concerning a Beta Service (“Feedback”). Unless Beyond Power informs you otherwise as a condition of access to a particular Beta Service, providing Feedback is voluntary.
You represent and warrant that you have the right to provide any Feedback you submit and that your Feedback does not knowingly infringe or misappropriate any third-party intellectual property rights or disclose any third-party confidential or proprietary information.
Feedback you provide is subject to the Feedback provisions of the Terms of Service. You acknowledge that Beyond Power may use Feedback to evaluate, improve, develop, and promote Beyond Power products and services in accordance with those provisions. Feedback will not be treated as confidential information submitted by you to Beyond Power.
You will not be entitled to compensation, royalties, attribution, or other payment solely because Beyond Power receives or uses your Feedback, unless Beyond Power expressly agrees otherwise in writing.

Confidentiality
For purposes of these Beta Terms, “Confidential Beta Information” means any non-public information relating to a Beta Service, including the existence of a Beta Service where it has not been publicly announced, and its features, functionality, designs, specifications, interfaces, screenshots, recordings, test results, documentation, technical information, communications, and other non-public information made available by Beyond Power in connection with a Beta Service.
Unless expressly authorized by Beyond Power, you must:
(A) use Confidential Beta Information solely for purposes of accessing, using, testing, or evaluating the applicable Beta Service;
(B) take reasonable measures to protect Confidential Beta Information against unauthorized access, use, or disclosure;
(C) not publish, disclose, distribute, display, demonstrate, photograph, record, stream, post on social media, or otherwise make Confidential Beta Information available to any unauthorized third party; and
(D) not use Confidential Beta Information for your own or any third party’s commercial benefit.
Confidential Beta Information does not include information that you can demonstrate:
(A) is or becomes lawfully available to the public through no breach of these Beta Terms;
(B) was lawfully known to you without confidentiality restrictions before Beyond Power disclosed it;
(C) is lawfully obtained from a third party having the right to disclose it without confidentiality restrictions; or
(D) is independently developed by you without use of or reference to Confidential Beta Information.
If disclosure is required by applicable law, regulation, court order, or valid legal process, you may disclose only the portion legally required and, where legally permitted, must provide Beyond Power with reasonable advance notice.
You acknowledge that unauthorized use or disclosure of Confidential Beta Information may cause irreparable harm for which monetary damages may be inadequate, and Beyond Power may seek injunctive or equitable relief as permitted under the Terms of Service and applicable law, in addition to any other available remedies.

Communications and Support
In connection with a Beta Service, Beyond Power may contact you through email, in-app messages, notifications, surveys, testing platforms, community channels, or other reasonable means to provide Beta Service information, notify you of updates or changes, request Feedback, investigate technical issues, or otherwise administer the Beta Service, including service-related, administrative, technical, testing, survey, and other non-marketing communications.
Unless Beyond Power expressly states otherwise, Beta Services are provided without any commitment to provide maintenance, service levels, or technical support.
Any support Beyond Power chooses to provide for a Beta Service may be limited, modified, or discontinued at any time to the extent permitted by applicable law.

Beta Hardware and Materials
If Beyond Power provides you with any prototype, pre-release hardware, testing unit, accessory, equipment, or other tangible material in connection with a Beta Service (“Beta Materials”), the Beta Materials remain the property of Beyond Power or its licensors unless Beyond Power expressly agrees otherwise in writing.
You must take reasonable care of Beta Materials and may use them only as authorized in connection with the applicable Beta Service.
You may not sell, transfer, loan, dispose of, modify, disassemble, or provide Beta Materials to any unauthorized third party except as expressly authorized by Beyond Power.
Upon discontinuation of the applicable Beta Service, termination of your access, or Beyond Power’s request, you must cease using and return applicable Beta Materials, or dispose of them only as expressly directed by Beyond Power and in accordance with applicable law, and delete any related Beta software or digital documentation.
You are responsible for any loss or damage to Beta Materials resulting from unauthorized use, misuse, unauthorized modification, transfer, or failure to exercise reasonable care. You may not remove, alter, or obscure any serial number, proprietary notice, label, or other identifying information on Beta Materials.

Beta Risks and Disclaimer of Warranties
YOU UNDERSTAND AND ACKNOWLEDGE THAT BETA SERVICES MAY CONTAIN BUGS, ERRORS, DEFECTS, INACCURACIES, SECURITY VULNERABILITIES, OR OTHER PROBLEMS AND MAY CAUSE SOFTWARE, HARDWARE, CONNECTED PRODUCTS, OR OTHER DEVICES TO MALFUNCTION OR OPERATE UNEXPECTEDLY, SUCH MALFUNCTIONS OR UNEXPECTED OPERATION MAY INCLUDE, WITHOUT LIMITATION, SUDDEN CHANGES IN RESISTANCE, INCORRECT RESISTANCE, UNEXPECTED DEVICE MOVEMENT, OR LOSS OF CONTROL, AND MAY RESULT IN PERSONAL INJURY, DAMAGE TO EQUIPMENT, OR OTHER PROPERTY DAMAGE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BETA SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS, WITHOUT ANY REPRESENTATION OR WARRANTY THAT THEY WILL BE COMPLETE, ACCURATE, RELIABLE, SECURE, ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH ANY PARTICULAR PRODUCT, DEVICE, SOFTWARE, OR SERVICE, OR THAT ANY DEFECT WILL BE CORRECTED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOUR ACCESS TO AND USE OF BETA SERVICES IS AT YOUR OWN RISK, AND YOU ASSUME THE RISKS INHERENT IN TESTING AND USING PRE-RELEASE PRODUCTS AND SERVICES.
THE DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, WAIVERS, INDEMNITY PROVISIONS, AND OTHER RISK-ALLOCATION PROVISIONS IN THE TERMS OF SERVICE APPLY TO YOUR ACCESS TO AND USE OF BETA SERVICES.
NOTHING IN THESE BETA TERMS EXCLUDES, RESTRICTS, OR MODIFIES ANY CONSUMER GUARANTEE, STATUTORY RIGHT, REMEDY, WARRANTY, OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR MODIFIED.
YOU ARE RESPONSIBLE FOR COSTS AND EXPENSES YOU INCUR IN CONNECTION WITH ACCESSING, INSTALLING, TESTING, REMOVING, OR USING A BETA SERVICE, OR RESTORING ANY BACKUP, CONNECTIVITY, DATA, EQUIPMENT, OR RESTORATION COSTS.

Suspension and Termination
You may stop using a Beta Service at any time by ceasing access to and use of the applicable Beta Service and, where applicable, uninstalling or disabling the Beta Service.
Beyond Power may suspend, restrict, or terminate your access to a Beta Service, or discontinue a Beta Service, at any time, with or without cause, to the extent permitted by applicable law.
Your license and right to access and use a Beta Service will automatically terminate, without notice, upon the earliest of:
(a) Beyond Power’s discontinuation of the Beta Service;
(b) the Beta Service becoming generally available or being replaced by a commercial release, in which case any continued access to or use of the generally released version, if permitted, will be governed by the Terms of Service and any applicable commercial terms;
(c) expiration of any applicable testing period;
(d) termination of these Beta Terms or your access to the Beta Service; or
(e) your breach of these Beta Terms.
Upon termination or expiration of your right to access or use a Beta Service, you must immediately cease all access to and use of the applicable Beta Service.Where requested by Beyond Power, you must uninstall or delete Beta software, return or dispose of applicable Beta Materials as directed by Beyond Power, and delete or destroy any Confidential Beta Information in your possession or control, except where retention is required by applicable law.
Discontinuation of a Beta Service or termination or expiration of your access to it does not require Beyond Power to preserve, restore, or migrate Beta Data.
Any provisions that by their nature should survive termination, including provisions concerning intellectual property, Feedback, confidentiality, Beta Materials, disclaimers, limitations of liability, and dispute resolution, will survive termination.

Relationship with Other Terms
Except as expressly modified by these Beta Terms, the Terms of Service remain in full force and effect and govern your access to and use of Beta Services.
Without limitation, the provisions of the Terms of Service concerning accounts, third-party services, fitness-related content, product safety, intellectual property, Feedback, disclaimer of warranties, limitation of liability, statutory rights, waiver, indemnity, termination, privacy, governing law, jurisdiction, and dispute resolution continue to apply.
We may modify these Beta Terms from time to time. Any revised Beta Terms will become effective as stated when they are posted or otherwise made available to you, subject to any notice requirements under applicable law. Your continued use of a Beta Service after the revised Beta Terms become effective constitutes your acceptance of the revised Beta Terms to the extent permitted by applicable law.
Your use of a third-party platform, device, application store, beta distribution platform, software, or service in connection with a Beta Service may also be subject to the terms and policies of the applicable third party.
